1. Agreement Overview

This Membership Agreement ("Agreement") is entered into between the Billion Dollar Elite Club ("BDEC") and the approved member ("Member").

By activating or maintaining membership, the Member agrees to all terms, conditions, policies, and limitations described in this Agreement.

2. Nature of Membership

BDEC operates as a private lifestyle coordination and social access network.

Membership provides access to curated environments, networking opportunities, and concierge coordination services.

BDEC does not guarantee service availability, venue access, or experience fulfillment.

Membership is a privilege extended by invitation or private consideration and may be revoked at BDEC’s sole discretion.

3. Membership Eligibility

Membership is granted based on:

• Lifestyle alignment
• Social and professional standing
• Behavioral and ethical standards
• Network compatibility

BDEC reserves the right to approve, deny, suspend, or terminate membership without disclosure of internal selection criteria.

4. Membership Tiers

Membership privileges vary by tier:

• Silver Membership
• Diamond Membership
• Black Card Signature 333™

Specific privileges may change based on network availability and partnership structure.

Membership benefits are not guaranteed and may be modified to preserve exclusivity and operational integrity.

5. Membership Fees

Members agree to pay all membership fees associated with their selected tier.

Failure to maintain active payment may result in suspension or termination.

Black Card Signature 333™ Specific Rule:

If payment is not completed within forty-five (45) days of the due date, membership may be permanently revoked and reallocated.

Membership fees are non-refundable unless required by applicable law.

6. Third-Party Services Disclaimer

BDEC does not own, manage, operate, or control any third-party venue, service provider, event organizer, transportation service, or experience partner.

Members acknowledge that all third-party services operate independently.

BDEC makes no warranties regarding:

• Service quality
• Safety conditions
• Availability
• Reservation fulfillment
• Staff conduct
• Experience satisfaction

All liability for services rendered remains solely with the third-party provider.

7. Member Assumption of Risk

Members voluntarily assume all risks associated with participating in BDEC-facilitated activities, including:

• Personal injury
• Property loss
• Travel disruptions
• Event cancellations
• Venue operational decisions
• Third-party negligence

Participation in any BDEC recommendation or facilitated experience is done at the Member’s own risk.

8. Limitation of Liability

To the maximum extent permitted by law, BDEC shall not be liable for:

• Indirect or consequential damages
• Loss of business opportunities
• Personal injury incidents
• Property damage
• Financial losses
• Service dissatisfaction
• Third-party negligence

BDEC liability shall not exceed the membership fees paid by the Member during the previous twelve (12) months.

9. Concierge Services Disclaimer

BDEC concierge services operate solely as coordination and communication facilitation.

BDEC does not act as an agent, travel provider, investment advisor, event organizer, or service guarantor unless explicitly stated in writing.

All final agreements are made directly between the Member and the third-party provider.

10. Member Conduct Standards

Members agree to maintain professional, respectful, and ethical conduct.

Members are responsible for their own behavior and the behavior of their guests.

BDEC reserves the right to suspend or terminate membership for:

• Disruptive behavior
• Damage to venue relationships
• Illegal activity
• Reputation risk to the club

11. Confidentiality

Members agree to maintain confidentiality regarding:

• Member identities
• Private events
• Business introductions
• Internal club operations

Unauthorized disclosure may result in termination of membership.

12. Indemnification

Members agree to indemnify, defend, and hold harmless BDEC, its affiliates, officers, partners, employees, and contractors from any claims, liabilities, damages, or expenses arising from:

• Member participation in third-party services
• Member conduct
• Guest conduct
• Travel or event participation
• Business or social interactions facilitated by BDEC

13. No Guarantee of Access

Membership does not guarantee:

• Venue admission
• Event participation
• Reservation priority
• Service availability

All services remain subject to venue capacity, management discretion, and operational conditions.

14. Force Majeure

BDEC shall not be liable for service disruption due to events beyond its control, including:

• Natural disasters
• Government restrictions
• Public health emergencies
• Venue closures
• Security threats
• Transportation interruptions

15. Modification of Services

BDEC reserves the right to modify:

• Venue partnerships
• Membership privileges
• Event structures
• Concierge offerings

Such modifications may occur without prior notice to preserve exclusivity and operational standards.

16. Membership Termination

BDEC reserves the right to terminate membership at its discretion.

Termination may occur for:

• Conduct violations
• Non-payment
• Misrepresentation
• Behavior inconsistent with club standards

Termination does not entitle Member to refund.

17. Non-Transferability

Membership is personal and may not be transferred, sold, or assigned to another individual without written approval from BDEC.

18. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida.

Any disputes shall be resolved within the jurisdiction of Florida courts.

19. Acknowledgment of Understanding

By activating membership, the Member confirms:

• Full understanding of this Agreement
• Voluntary acceptance of all terms
• Assumption of all participation risks
• Agreement to BDEC policies and conduct standards
