The Billion Dollar Elite Club ("BDEC") operates as a private membership-based lifestyle coordination and social access network.

BDEC facilitates connections between Members and independent third-party venues, service providers, events, and lifestyle experiences.

BDEC does not own, operate, manage, or control any third-party venues, services, or experiences unless explicitly stated.

3. Membership Eligibility & Approval

Membership is subject to private approval and may be extended through invitation or application review.

BDEC reserves the right to:

• Approve or deny membership applications
• Suspend or terminate membership
• Modify eligibility requirements
• Limit membership availability

BDEC is not obligated to disclose reasons for membership decisions.

4. No Guarantee of Access

Use of BDEC Services does not guarantee:

• Venue admission
• Event participation
• Reservation priority
• Availability of experiences
• Service fulfillment by third parties

All access remains subject to venue policies, capacity limitations, and operational discretion.

5. Third-Party Services Disclaimer

All services facilitated through BDEC are provided by independent third-party vendors.

BDEC makes no warranties or guarantees regarding:

• Service quality
• Safety standards
• Reservation confirmation
• Experience satisfaction
• Venue operational decisions
• Staff or service provider conduct

Members interact with third-party providers at their own risk.

6. Limitation of Liability

To the fullest extent permitted by law, BDEC shall not be liable for:

• Personal injury
• Property damage or loss
• Financial losses
• Travel disruptions
• Event cancellations
• Third-party negligence
• Business or investment outcomes
• Service dissatisfaction

BDEC’s maximum liability shall not exceed the total membership fees paid by the Member within the previous twelve (12) months.

7. Concierge Coordination Disclaimer

BDEC concierge services operate solely as coordination and communication facilitation services.

BDEC does not act as:

• Travel agency
• Event organizer
• Investment advisor
• Hospitality operator
• Transportation provider

All service agreements are entered directly between the Member and third-party providers.

8. Member Conduct & Responsibility

Users and Members agree to maintain professional and respectful conduct.

Members are responsible for:

• Personal behavior
• Guest behavior
• Compliance with venue policies
• Compliance with local laws and regulations

BDEC reserves the right to terminate membership or deny Services based on conduct violations.

9. Confidentiality

Members and users agree not to disclose:

• Member identities
• Private events
• Business introductions
• Internal club operations
• Proprietary membership information

Violation of confidentiality may result in termination and legal action.

10. Payment & Subscription Terms

Membership fees must be paid according to the selected membership plan.

Failure to maintain payment may result in suspension or termination of membership.

Black Card Specific Policy:

Failure to complete payment within forty-five (45) days of the due date may result in permanent membership revocation.

Membership fees are non-refundable unless required by law.

11. Intellectual Property

All BDEC content, branding, trademarks, service models, and proprietary materials are owned exclusively by BDEC.

Users may not:

• Copy or distribute proprietary content
• Replicate membership models
• Use BDEC branding without authorization
• Reverse engineer membership structures

12. Indemnification

Users and Members agree to indemnify and hold harmless BDEC and its affiliates from any claims, damages, losses, liabilities, or legal expenses arising from:

• Member participation in third-party services
• Member or guest conduct
• Travel or event participation
• Business or social interactions facilitated through BDEC

13. Force Majeure

BDEC shall not be liable for service interruption due to events beyond its control, including:

• Natural disasters
• Government restrictions
• Public health emergencies
• Security threats
• Venue closures
• Transportation disruptions

14. Modification of Services

BDEC reserves the right to modify:

• Membership privileges
• Venue partnerships
• Service offerings
• Concierge availability

Modifications may occur without prior notice to preserve exclusivity and service quality.

15. Termination of Access

BDEC reserves the right to terminate or restrict access to Services or membership at any time, including for:

• Conduct violations
• Non-payment
• Misuse of Services
• Reputation or safety concerns

Termination does not guarantee refund.

16. Privacy & Data Use

Use of BDEC Services is subject to the BDEC Privacy Policy.

By using BDEC Services, users consent to the collection and use of personal data for membership verification, service coordination, and operational purposes.

17. Governing Law

These Terms & Conditions shall be governed by the laws of the State of Florida.

Any disputes shall be resolved exclusively within Florida jurisdiction.

18. Entire Agreement

These Terms & Conditions constitute the entire agreement between the user and BDEC regarding use of Services.

19. Updates to Terms

BDEC reserves the right to update or modify these Terms & Conditions at any time.

Continued use of Services after modifications constitutes acceptance of updated terms.
